Nineteenth Report of the Monitor |
November 27, 2015 |
The purpose of this Nineteenth Report of the Monitor is to inform this Honourable Court with respect to the following:
a) the status of the CCAA Parties' CCAA Proceedings;
b) the CCAA Parties' financial performance since August 15, 2015 and a comparison of actual to forecast results;
c) the cash flow forecast to February 26, 2016 (the "Cash Flow Forecast");
d) the CCAA Parties' request for an Order, inter alia:
i. extending the Stay Period to the earlier of (i) the filing of the Monitor's Certificate (as defined below), or (ii) 11:59 p.m. on February 26, 2016;
ii. approving the various reports of the Monitor and the activities of the Monitor described therein;
iii. approving the fees and disbursements of the Monitor and the Monitor's counsel;
iv. providing for the termination of these proceedings and the discharge and release of the Court-ordered charges granted in the CCAA Proceedings;
v. providing for the discharge of the Monitor and a release of claims in favour of the Monitor, its counsel and their respective affiliates and officers, directors, partners, employees and agents; and
e) the Monitor's conclusions and recommendations.

b) the CCAA Parties' request for an Order authorizing and directing the Royal Bank of Canada ("Royal Bank") to return to C International Income Fund funds in the amount of U.S. $237,932.77 currently frozen by the Royal Bank in a bank account bearing the name 8787425 Canada Corporation and trading under the name of Cinram Group Inc. (the "Release of Funds Order");
c) the CCAA Parties' request for an Order (the "Receivership Discharge Order") approving the fees and disbursements of FTI Consulting Canada Inc. ("FTI") in its capacity as receiver (in such capacity, the "Receiver") of the Limited Receivership Property (as defined below) of C International Inc., formerly Cinram International Inc. ("CII"); discharging FTI as Receiver of the Limited Receivership Property of CII; and the Monitor's conclusions and recommendations."

(the"Purchaser");
ii)approving the sale of all of the issued and outstanding shares of Cooperatie Cinram Netherlands UA and also the business carried on by Cinram in Europe('Share Sale Transaction'); iii)authorizing CII to enter into the Asset Purchase Agreement and the Share Sellers to enter into the Share Purchase Offer;
