Kew Media Group Inc. & Kew Media International (Canada) Inc. - Status Updates

Effective October 19, 2023, FTI Consulting Canada Inc. was discharged as the receiver and manager (the "Receiver") of the undertaking, property and assets of Kew Media Group Inc. and Kew Media International (Canada) Inc., pursuant to an Order of Justice McEwen of the Ontario Superior Court of Justice (Commercial List) (the "Court") made on May 25, 2023 (the "Fee Approval and Discharge Order").

The Honourable Justice Koehnen of the Ontario Superior Court of Justice (Commercial List) granted the TCB Distribution Order and First Fee Approval Order. The TCB Distribution Order authorized the Receiver to distribute from time to time the proceeds of sale of the TCB Shares (as defined in the Third Report of the Receiver), subject to certain reasonable reserves in the discretion of the Receiver, to Truist Bank as administrative agent for the secured lending syndicate.

The Honourable Justice Koehnen of the Ontario Superior Court of Justice (Commercial List) granted the Lift Stay Order temporarily lifting the stay of proceedings in place as against Kew Media for certain limited purposes with respect to the proposed representative plaintiffs in a putative securities class proceeding against Kew Media Inc., and certain other relief. Please refer to the Court Orders section for the complete Order and related relief granted.

The Honourable Mr. Justice Koehnen of the Ontario Superior Court of Justice (Commercial List) has approved the sale of TCB Media Rights Ltd and the repayment of borrowings and distribution to agent.

The transaction for the sale of the TCB Shares closed April 14, 2020.

Receiver filed motion materials in respect of the April 9 motion, including the First Report of the Receiver. In that Report, the Receiver, amongst other things, informed the Court of that the Receiver has successfully concluded the sales of the shares of:
i. Architect Films Inc.;
ii. BGM Inc.;
iii. Big Timber Media Inc. ;
iv. Frantic Films Corporation;
v. Media Headquarters Film and Television Inc.; and
vi. Sienna Films Inc.

Pursuant to the Order of the Honourable Justice Koehnen (the "Receivership Order") of the Ontario Superior Court of Justice (Commercial List) (the "Court") dated February 28, 2020 (the "Date of Receivership"), FTI Consulting Canada Inc. was appointed as receiver and manager (the "Receiver"), without security, of the assets, property, and undertakings of: i) Kew Media Group Inc. ("KMG") used in relation to its business as the parent company of a large group of subsidiaries located in Canada, the United States, the United Kingdom, Australia, and New Zealand that develops, produces, and distributes multi genre media content worldwide (all subsidiaries collectively with KMG, the "Kew Media Group"); and, ii) Kew Media International (Canada) Inc. ("KMIC") used in relation to its business that provides certain operational support to Kew Media International Limited, a wholly-owned subsidiary of KMG via wholly-owned subsidiaries Kew Media Group UK Limited and Kew Media UK Holdings Limited (collectively, with Kew Media International Limited and Kew Media Group UK Limited, the "UK Administration Entities"). The UK Administration Entities were placed into administration in the United Kingdom on February 28, 2020.
