Free Rein Resources Ltd. - Status Updates

On June 12, 2023, Free Rein Resources Ltd. ("Free Rein") filed a Notice of Intention to Make a Proposal ("NOI") pursuant to section 50.4(1) of the Bankruptcy and Insolvency Act. FTI Consulting Canada Inc. ("FTI") was appointed as the Trustee in this matter.

On December 6, 2023, Invico Income Limited Partnership ("Invico"), the secured creditor if Free Rein sought and obtained an initial order (the "Initial Order") and an amended and restated initial order (the "ARIO") from the Court of King's Bench of Alberta (the "Court") under the Companies' Creditors Arrangement Act, R.S.C. 1985, c. C-36, as amended (the "CCAA"). The ARIO provides, among other things, an initial stay of proceedings until January 31, 2024 (the "Stay Period") which may be extended from time to time. Pursuant to the Initial Order, FTI was appointed as monitor (the "Monitor") of the Company.

On January 22, 2024, the Court granted an order, which extended the Stay Period until and including March 15, 2024.

On February 23, 2024, the Court granted an order, which extended the Stay Period until and including April 30, 2024

On February 23, 2024, the Court approved a transaction contemplated by the term sheet (the "RVO Term Sheet Agreement") between the Monitor and Invico Diversified Income Limited Partnership. On April 26, 2024, the transaction has been completed to the satisfaction of the Monitor.
